1. Introduction and Acceptance

These Terms of Service govern your use of SerpEyes, including our website at serpeyes.com and all related software, tools and services. SerpEyes is operated by UWSM Pte Ltd, a company incorporated in Singapore.

By accessing or using SerpEyes, you agree to be bound by these terms. If you do not agree, please do not use our platform or services.

These terms form a legally binding agreement between you and UWSM Pte Ltd. Please read them carefully.

2. Definitions

In these Terms of Service:

• "SerpEyes", "we", "us" and "our" refers to UWSM Pte Ltd trading as SerpEyes.
• "Platform" refers to the SerpEyes software application and all its features and modules.
• "Services" refers to the Platform and any related services including managed SEO services offered by SerpEyes.
• "User", "you" and "your" refers to any individual or organisation accessing or using the Platform or Services.
• "Content" refers to any data, reports, articles or other material generated through the Platform.
• "Subscription" refers to a paid or free plan giving you access to the Platform.

3. Eligibility

You must be at least 18 years old to use SerpEyes. By using our Platform you confirm that you meet this requirement.

If you are using SerpEyes on behalf of a company or organisation, you confirm that you have authority to bind that entity to these terms.

4. Account Registration

To access SerpEyes you must create an account. You agree to:

• Provide accurate and complete information when registering
• Keep your login credentials secure and confidential
• Notify us immediately if you suspect unauthorised access to your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe have been compromised.

5. Early Access

SerpEyes is currently in an early access phase. During this period:

• Access is provided free of charge. We do not guarantee uninterrupted access or the availability of all features during early access.
• We may make significant changes to features, modules or the platform structure based on user feedback. We will communicate significant changes in advance where possible.
• Early access does not constitute a binding commitment to any specific pricing, feature set or launch timeline.
• By participating in early access, you agree to provide honest feedback when requested and to use the platform in good faith.

6. Subscriptions and Payment

When paid plans launch, the following terms will apply:

• Billing: Subscriptions are billed monthly or annually in advance depending on the plan you select. All prices are in Singapore Dollars unless otherwise stated.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.
• Price changes: We will notify you at least 30 days before changing subscription prices. Continued use after the notice period constitutes acceptance of the new pricing.
• Failed payments: If a payment fails, we will attempt to contact you. If payment is not resolved within 14 days, we reserve the right to suspend access to your account.

7. Acceptable Use

You agree to use SerpEyes only for lawful purposes and in accordance with these terms. You must not:

• Use the Platform to audit websites you do not own or have explicit permission to audit
• Attempt to reverse engineer, copy or replicate any part of the Platform or its underlying methodology
• Use automated scripts or bots to access the Platform in ways not authorised by us
• Share your account credentials with others outside your organisation
• Use the Platform to generate content that is misleading, defamatory or in violation of any applicable law
• Attempt to interfere with or disrupt the security or integrity of the Platform
• Resell or sublicense access to the Platform without our written permission
• Use the Platform in any way that could damage the reputation of SerpEyes or UWSM Pte Ltd

8. White-Label Reports

SerpEyes allows users to generate branded reports using their own agency or company branding. When using this feature:

• You are responsible for ensuring the accuracy of any branding, contact information or additional content you add to reports.
• You may share white-label reports with your clients as part of your own service offering.
• You must not present white-label reports as independently verified third party assessments or misrepresent their source in a way that could mislead your clients.
• SerpEyes retains no claim over the client relationships you manage using our Platform.

9. Intellectual Property

Our intellectual property: SerpEyes and all its components including software, algorithms, methodology, design, content and branding are the intellectual property of UWSM Pte Ltd. Nothing in these terms grants you any rights to our intellectual property beyond the limited licence to use the Platform as described herein.

Your intellectual property: You retain ownership of any content you input into the Platform including website URLs, articles and client data. You grant us a limited licence to process this content solely for the purpose of delivering the Service to you.

Generated content: Reports, articles and other content generated by the Platform based on your inputs are provided for your use. We grant you a non-exclusive licence to use generated content for your own business purposes including sharing with your clients.

10. Data and Privacy

Your use of SerpEyes is subject to our Privacy Policy, which is incorporated into these terms by reference. By using SerpEyes you agree to our Privacy Policy.

When you connect third party accounts such as Google Search Console, you authorise SerpEyes to access and process the relevant data in accordance with the permissions you grant and our Privacy Policy.

11. Third Party Services

SerpEyes integrates with third party services including Google Search Console. Your use of these integrations is subject to the relevant third party terms of service. We are not responsible for the availability, accuracy or conduct of any third party service.

12. Disclaimers

SerpEyes provides SEO intelligence, analysis and recommendations. We do not guarantee specific search engine ranking outcomes.

Search engine algorithms change frequently and are outside our control. Improvements in rankings depend on many factors beyond the use of our Platform including the quality of implementation, market competition and search engine policy changes.

The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free or completely secure. We make no warranties, express or implied, beyond those required by applicable Singapore law.

13. Limitation of Liability

To the maximum extent permitted by Singapore law, UWSM Pte Ltd shall not be liable for:

• Any indirect, incidental, special or consequential damages arising from your use of the Platform
• Loss of revenue, profits, data or business opportunities
• Any damages arising from reliance on Platform-generated recommendations
• Any issues arising from third party services integrated with the Platform

Our total liability to you for any claim arising from these terms or your use of the Platform shall not exceed the total amount you paid us in the three months preceding the claim, or SGD 100 if you have not made any payment.

Nothing in these terms excludes liability that cannot be excluded under Singapore law.

14. Managed SEO Services

Where you engage SerpEyes for managed SEO services rather than or in addition to the Platform, the following additional terms apply:

• Scope of work: The specific services, deliverables and timelines will be agreed in writing before work begins.
• Client responsibilities: You agree to provide us with timely access to your website, hosting, Google accounts and any other assets reasonably required to deliver the service.
• Results: We will work diligently to improve your search rankings but we do not guarantee specific ranking positions or traffic levels. Search engine rankings depend on many factors outside our control.
• Cancellation of services: Either party may terminate managed SEO services with 30 days written notice. You remain responsible for payment of any fees due up to the termination date.

15. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the use of SerpEyes. This obligation does not apply to information that is publicly available, independently developed or required to be disclosed by law.

16. Termination

We reserve the right to suspend or terminate your access to SerpEyes at any time if you breach these terms, if we reasonably suspect fraudulent or abusive use, or if we decide to discontinue the Platform entirely.

If we terminate your account without cause, we will provide a pro-rated refund of any prepaid subscription fees covering the unused portion of your billing period.

17. Governing Law and Disputes

These terms are governed by the laws of Singapore. Any dispute arising from these terms or your use of SerpEyes shall be subject to the exclusive jurisdiction of the Singapore courts.

We encourage you to contact us first at [email protected] before initiating any formal dispute process. Most issues can be resolved quickly through direct communication.

18. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes we will notify you by email or through a prominent notice on our website at least 14 days before the changes take effect. Your continued use of SerpEyes after that date constitutes acceptance of the updated terms.

19. Severability

If any provision of these terms is found to be unenforceable by a Singapore court, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms of Service and our Privacy Policy constitute the entire agreement between you and UWSM Pte Ltd regarding your use of SerpEyes and supersede any prior agreements or understandings.
